1. ACCEPTANCE OF TERMS

These Terms and Conditions ("Terms") govern your access to and use of the VoiceFind.ai website (the "Site"), platform, mobile or web applications, APIs, and all related products and services (collectively, the "Services") operated by VoiceFind.ai ("VoiceFind.ai," "Company," "we," "us," or "our").

By accessing or using the Services in any manner — including, without limitation, visiting or browsing the Site, registering for an account, submitting a form, or providing your phone number to receive SMS communications — you agree to be bound by these Terms, our Privacy Policy, and any additional terms, guidelines, or policies incorporated herein by reference.

If you are using our Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case the terms "you" and "your" shall refer to that entity.

2. DEFINITIONS

- "A2P Messaging" means Application-to-Person messaging, where messages are sent from a software application or platform (such as VoiceFind.ai) to an end user's mobile phone.
- "Content" means any text, audio, voice data, recordings, transcripts, files, images, or other materials uploaded to, processed by, or transmitted through the Services.
- "Opt-In" means the affirmative action by which you provide express written or digital consent to receive SMS/MMS messages from VoiceFind.ai.
- "Opt-Out" means the action of withdrawing consent to receive SMS/MMS messages, typically by replying STOP.
- "Services" means all products, features, websites, applications, APIs, and communications provided by VoiceFind.ai.
- "SMS/MMS" means Short Message Service and Multimedia Messaging Service communications sent to mobile phones.
- "User" means any individual or entity that accesses or uses the Services.

3. ELIGIBILITY

You must be at least 18 years of age to use our Services or to opt in to receive SMS/MMS communications from VoiceFind.ai. By using the Services, you represent and warrant that:
- You are at least 18 years of age;
- You have the legal capacity and authority to enter into these Terms;
- You are not prohibited from using the Services under applicable law;
- All information you provide to us is accurate, current, and complete; and
- You will maintain the accuracy of such information and promptly update it as necessary.

VoiceFind.ai reserves the right to refuse service, terminate accounts, or cancel orders in its sole discretion, including in cases where eligibility requirements are not met.

4. DESCRIPTION OF SERVICES

VoiceFind.ai provides an AI-powered voice search and communications platform that may include:
- AI-driven voice recognition, transcription, and search functionality;
- SMS/MMS and voice communications tools for business use;
- Campaign management and contact engagement features;
- Analytics, reporting, and data management dashboards;
- API access for third-party integrations; and
- Customer support and onboarding services.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

5. ACCOUNTS & REGISTRATION

To access certain features of the Services, you may be required to create an account. When you create an account, you agree to:
- Provide accurate, complete, and current registration information;
- Maintain the security and confidentiality of your login credentials;
- Accept responsibility for all activities that occur under your account;
- Notify us immediately of any unauthorized use of your account at support@voicefind.ai; and
- Ensure that you log out of your account at the end of each session when accessing the Services from a shared device.

You may not share your account credentials with any third party, create accounts by automated means, or create accounts under false pretenses.

6. SMS & PHONE COMMUNICATION TERMS

This section governs all SMS, MMS, and voice communications between VoiceFind.ai and you. These terms are required by the Telephone Consumer Protection Act (TCPA), CTIA Messaging Principles and Best Practices, Twilio's Acceptable Use Policy, and A2P 10DLC campaign registration requirements administered by The Campaign Registry (TCR).

A. Express Consent & Opt-In

By providing your mobile phone number and submitting an opt-in form, texting a keyword to our designated short code or long code, checking an opt-in checkbox on our website, or otherwise affirmatively agreeing to receive text messages from VoiceFind.ai, you expressly consent to receive SMS/MMS messages from VoiceFind.ai at the mobile number you provided.

YOUR CONSENT TO RECEIVE SMS/MMS MESSAGES IS ENTIRELY VOLUNTARY AND IS NOT A CONDITION OF PURCHASING OR USING ANY VOICEFIND.AI PRODUCT OR SERVICE.

B. Types of Messages

By opting in, you may receive the following categories of messages:

- Transactional Messages: Account creation confirmations, password resets, one-time passcodes (OTP), billing receipts and payment alerts, service outage notifications, and security alerts.
- Service & Informational Messages: Appointment or meeting reminders, feature updates, platform status notifications, onboarding guidance, and responses to support inquiries you initiate.
- Promotional & Marketing Messages: Special offers, product announcements, and other commercial communications (sent only to users who have provided explicit consent for marketing SMS communications).

C. Message Frequency

Message frequency varies based on your account activity and opt-in preferences. Transactional messages are event-triggered. Marketing messages are sent no more than four (4) times per month, unless a different frequency is disclosed at the time of opt-in.

D. Message & Data Rates

Message and data rates may apply. Standard carrier rates for text messaging and data apply. VoiceFind.ai is not responsible for any charges assessed by your wireless carrier.

E. How to Opt Out — STOP Command

You may withdraw consent to receive SMS/MMS messages at any time by:
- Replying STOP to any SMS/MMS message from VoiceFind.ai.
- Contacting us at privacy@voicefind.ai and requesting removal from our messaging list.
- Updating your communication preferences in your account settings.

After opting out, we will send a single confirmation message and cease further messages, except for critical transactional messages. To re-subscribe, text START or YES to the same number.

F. How to Get Help — HELP Command

Reply HELP to any message to receive customer support contact information and opt-out instructions. You may also contact support@voicefind.ai for assistance.

G. Supported Carriers

Supported carriers include, but are not limited to: AT&T, Verizon, T-Mobile, Sprint, Boost Mobile, MetroPCS, U.S. Cellular, and Cricket Wireless. Delivery is not guaranteed by all carriers or in all areas.

H. No Guarantee of Delivery

VoiceFind.ai does not guarantee the delivery, timeliness, or security of SMS/MMS messages. VoiceFind.ai is not liable for any failure or delay in message delivery.

I. Accurate Phone Number; Responsibility

You represent that the mobile phone number you provide is your own, that you are the authorized user of that number, and that you have the legal authority to opt that number in to receive SMS communications. You agree to notify VoiceFind.ai promptly if your phone number changes.

J. No Sharing of Phone Numbers for Third-Party Marketing

VOICEFIND.AI DOES NOT SELL, RENT, SHARE, OR DISCLOSE YOUR MOBILE PHONE NUMBER TO ANY THIRD PARTY FOR THEIR OWN INDEPENDENT MARKETING, PROMOTIONAL, OR COMMERCIAL PURPOSES. Your mobile phone number is used solely to communicate with you on behalf of VoiceFind.ai.

K. Compliance with Applicable Law

All SMS and voice communications comply with:
- The Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and all FCC rules;
- The CAN-SPAM Act of 2003;
- CTIA Messaging Principles and Best Practices (current version);
- Twilio, Inc. Acceptable Use Policy and Messaging Policy;
- The Campaign Registry (TCR) A2P 10DLC registration requirements; and
- All applicable state telecommunications laws and consumer protection statutes.

VoiceFind.ai's messaging campaigns are registered with major U.S. carriers in accordance with A2P 10DLC requirements through Twilio, Inc., a registered CPaaS provider.

L. Prohibited Uses of SMS Services

You agree not to use VoiceFind.ai's communications platform to send or facilitate:
- Unsolicited commercial messages (spam);
- Messages to recipients who have opted out or not provided consent;
- Phishing, smishing, or fraudulent messages;
- Harassment, threats, or abusive content;
- Content violating TCPA, CTIA guidelines, or Twilio's Acceptable Use Policy;
- High-risk financial content, illegal drugs, weapons, hate speech, or adult content in violation of carrier policies; or
- Any content that misrepresents the sender's identity.

7. ACCEPTABLE USE POLICY

You agree to use the Services only for lawful purposes and in a manner consistent with these Terms. You agree NOT to:
- Violate any applicable federal, state, local, or international law or regulation;
- Infringe the intellectual property, privacy, or other rights of any third party;
- Transmit any material that is defamatory, obscene, harassing, hateful, or threatening;
- Upload or distribute viruses, malware, spyware, or other harmful code;
- Attempt to gain unauthorized access to any portion of the Services;
- Interfere with or disrupt the integrity or performance of the Services;
- Reverse engineer, decompile, or disassemble the Services;
- Collect or store personal data about other users without their consent;
- Use automated means to access the Services without express written permission; or
- Engage in conduct that restricts or inhibits anyone's use of the Services.

8. INTELLECTUAL PROPERTY

The Services and all content, features, and functionality — including the VoiceFind.ai name, logo, software, text, graphics, and user interface design — are owned by VoiceFind.ai or its licensors and protected by applicable intellectual property laws.

Subject to these Terms, VoiceFind.ai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to sell, copy, reproduce, or create derivative works from the Services.

9. USER CONTENT

You retain ownership of any Content you upload or submit through the Services. By submitting Content, you grant VoiceFind.ai a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and process your Content solely to provide and improve the Services.

You represent and warrant that you own or have the rights to your Content, that it does not infringe any third-party rights, and that it complies with these Terms and applicable law.

10. PAYMENT & BILLING

- Billing: Fees are billed in advance on a recurring basis. All fees are non-refundable unless otherwise required by law.
- Payment Methods: We accept major credit/debit cards processed through secure third-party processors.
- Price Changes: Pricing may change with notice, taking effect at the next billing cycle.
- Failed Payments: Access may be suspended until outstanding balances are resolved.
- Cancellation: You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are provided.

11. DISCLAIMERS & WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, VOICEFIND.AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VOICEFIND.AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT SMS MESSAGES WILL BE DELIVERED TIMELY OR AT ALL.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICEFIND.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL VOICEFIND.AI'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO VOICEFIND.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless VoiceFind.ai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: your violation of these Terms; your use of the Services in violation of applicable law; your User Content; your violation of any third party's rights; or your violation of TCPA, CTIA guidelines, or any other telecommunications regulation.

14. TERMINATION

VoiceFind.ai may suspend or terminate your account at any time for breach of these Terms, violation of applicable law, fraudulent use, extended inactivity, or discontinuation of the Services. You may terminate your account at any time by contacting support@voicefind.ai. Provisions that by nature should survive termination (including IP rights, disclaimers, liability limitations, indemnification, and dispute resolution) shall survive.

15. DISPUTE RESOLUTION & ARBITRATION

A. Informal Resolution First

Before filing any formal legal action, contact VoiceFind.ai at legal@voicefind.ai with a written description of the dispute and the relief sought. We will attempt to resolve informally within 30 days.

B. Binding Arbitration

Unresolved disputes shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator's decision is final and binding.

C. Class Action Waiver

YOU AND VOICEFIND.AI EACH AGREE THAT ANY PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS OR REPRESENTATIVE ACTION. BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.

D. Exceptions

Either party may bring individual claims in small claims court or seek emergency injunctive relief in a court of competent jurisdiction.

16. GOVERNING LAW

These Terms shall be governed by the laws of the United States and the State of [YOUR STATE], without regard to conflict-of-law provisions. Non-arbitration disputes shall be resolved in the state or federal courts of [YOUR COUNTY/STATE].

17. THIRD-PARTY SERVICES

The Services may integrate with third-party providers, each governed by their own terms. Our SMS and voice communications are facilitated by Twilio, Inc., subject to Twilio's Terms of Service and Acceptable Use Policy (https://www.twilio.com/en-us/legal/aup). Your use of our messaging features constitutes acknowledgment that communications are processed through Twilio's infrastructure.

18. CHANGES TO THESE TERMS

We may update these Terms at any time. Material changes will be communicated by updating the "Last Updated" date, posting a notice on our website, and/or sending notice via email or SMS. Continued use of the Services after changes constitutes acceptance of the revised Terms.

19. GENERAL PROVISIONS

- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and VoiceFind.ai.
- Severability: If any provision is unenforceable, it shall be modified minimally and the remaining provisions remain in effect.
- Waiver: Failure to enforce any provision is not a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our written consent.
- Force Majeure: VoiceFind.ai is not liable for delays caused by circumstances beyond our reasonable control.
- Notices: Legal notices to VoiceFind.ai must be sent in writing to the address in Section 20.
- No Third-Party Beneficiaries: These Terms do not confer rights on any third party.
